Article IX

Duties of Officers

The President.  The President shall be the Chief Executive Officer of the Corporation, and shall have general and active management of the activities of the Corporation and shall see that all orders and resolutions of the Board of Directors are carried into effect. The President shall execute all authorized conveyances, contracts or other obligations in the name of the Corporation, except where required by law to be otherwise signed and executed and except where the signing and execution thereof shall be expressly delegated by the Board of Directors to some other officer or agent of the Corporation. The President shall preside at all meetings of the Board of Directors. In the President’s absence, the President-Elect shall preside at such meetings, and in the absence of a President-Elect, the meeting shall be presided over by another officer designated by the Board of Directors. IF THE PRESIDENT’S STATUS CHANGES TO MANAGER IN TRANSITION DURING HIS/HER TERM, AND REMAINS IN GOOD STANDING, THE PRESIDENT SHALL CONTINUE SERVING AS CHIEF EXECUTIVE OFFICER OF THE CORPORATION.
